Scope & Technical Solutions
Aquarius Saudia Information Technology (AQ-IT) provides advanced B2B software platforms and solutions, including automation engineering, conversational AI models (voice assistants and text bots), and data integration pipelines designed for various business sectors.
Intellectual Property & System Rights
All source code, applications, graphical interfaces, designs, training algorithms, software modifications, and trademarks developed or utilized by the Company are the sole and exclusive intellectual property of (AQ-IT), protected under local laws and international IP treaties.
Upon executing a commercial agreement, the Company grants the Client a non-exclusive, non-transferable, and revocable license solely to operate the system for internal business administration within the contracted scope.
The Client, its employees, or affiliated developers are strictly prohibited from copying, modifying, reselling, leasing, decompiling, or reverse engineering any part of the Company's systems or infrastructure.
Obligations & Lawful Use
The Client commits to using technical platforms exclusively for legitimate business purposes and agrees to:
- Legality of Ingested Data: The Client bears full legal responsibility for ensuring all customer records, contact lists, and sensitive data processed through our systems are collected lawfully under the Saudi Personal Data Protection Law (PDPL).
- Prohibition of Misuse: Using the platforms for spamming contrary to CST regulations, uploading malicious payloads, or conducting unauthorized penetration testing/vulnerability scans on Company servers is strictly prohibited.
- Account & API Key Security: The Client is responsible for maintaining the confidentiality of credentials, personnel accounts, and API Tokens; all activities originating therefrom remain under its direct responsibility.
Technical Support & Maintenance SLAs
Technical support, bug fixes, server uptime monitoring, and periodic security updates are provided exclusively under an active, valid maintenance agreement between the Client and the Company.
The Company is under no obligation to provide complimentary support, system reconfigurations, or out-of-scope feature development beyond the explicit terms defined in the approved Service Level Agreement (SLA).
Data Processor Status
The Client acknowledges that (AQ-IT) operates solely as a "Data Processor" following the Client's instructions, whereas the Client remains the "Data Controller" legally responsible for defining processing purposes, ensuring legality, and obtaining end-user consents. The Company's liability is strictly limited to securing the technical environment and fulfilling contractual terms.
Disclaimer & Limitation of Liability
Software and AI assistants serve as organizational and operational tools to streamline workflows; consequently, the Company assumes no legal, financial, or civil liability for decisions made by the Client or its users based on automated outputs.
The Company disclaims liability for service interruptions arising from third-party infrastructure failures (such as global WhatsApp outages, global cloud hosting downtime, or abrupt third-party API changes).
Account Suspension & Termination
The Company reserves the absolute right to suspend accounts or terminate system access entirely upon verified breach of these terms, actions jeopardizing network stability, or default on contractual payments following due notice.
Applicable Law & Jurisdiction
This Terms of Service agreement is governed, construed, and enforced in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any dispute arising out of or related to these services shall be subject to the exclusive jurisdiction of the competent courts in Jeddah, Kingdom of Saudi Arabia.
Amendments & Inquiries
The Company reserves the right to amend and update these terms at any time to align with technical or regulatory changes. Continued use of platforms and services post-publication constitutes explicit acceptance of updated terms.
